License Agreement on User Registration on ZTE Corporation Website

I. Confirmation and Acceptance of the Terms and Conditions of the Agreement
The ownership and the operation right of the services of the ZTE Corporation website (hereinafter referred to as “the Website”) belong to ZTE Corporation Co., Ltd. In accordance with the following terms and conditions (hereinafter referred to as “the Agreement”), ZTE Corporation Co., Ltd. authorizes users the right to register on the website of ZTE Corporation Co., Ltd. The Agreement is applicable to all users or browsers visiting the Website. ZTE Corporation Co., Ltd (ZTE in short) reserves the right to change the Agreement from time to time. To become a registered user of the Website, you must agree with all clauses herein, complete the registration procedure and undertake to abide by the Agreement for your use of the services of the Website. If you do not agree with any of the terms and conditions hereunder, you cannot become a user of the Website, to whom the Agreement is applicable, and you must immediately terminate your use of the services of the Website.
II. Rights and Obligations
I) Rights and Obligations of ZTE Corporation
1. Respect users’ privacy
ZTE shall respect users’ privacy, guarantee the security of users’ privacy, and not take the initiative to announce or disclose users’ registration information to a third party, except in the following situations:
(1) Such announcement or disclosure is required by national security organizations and/or public security departments of the People’s Republic of China and is performed in accordance with the requirements of relevant legal procedures; or
(2) A user seriously violates regulations of the Website.
ZTE reserves the right to terminate a user’s qualification for registration on the Website and undertakes to keep all user's privacy confidential after such termination.
2. Maintain the normal operation of the Website and provide Web services.
3. Manage registered users.
ZTE Corporation shall manage registered users pursuant to the regulations of national laws, local laws, and international laws. ZTE reserves the right to judge whether a user’s behavior is in conformity with the requirements and essence of the Agreement.In case a user violates the Agreement, ZTE has the right to select proper method to handle it, until annul the user's qualification for registration.
II) Rights and Obligations of Users
1. Users must:
(1) abide by relevant laws and regulations of China on Internet and websites;
(2) not use the services of the Website for illegal purposes;
(3) not interfere in or disrupt the services of the Website; and
(4) abide by all agreements, regulations, procedures and practices on the use of the services of the Website.
Meanwhile, users shall undertake:
(1) not to transmit any reactionary, pornographic, harassing, damaging and/or other information in violation of national laws;
(2) not to infringe copyrights, trademarks, trade secrets or other intellectual property rights of other entities in any form;
(3) not to infringe the privacy of any individual or the public;
(4) not to attempt to obtain other information not published by the Website;
(5) not attempt to infringe the security of the Website, including but not limited to trying to obtain other information not published by the Website, registering on or logging in to the Website in another identity, access to servers and databases of the Website not open to them, attempting to detect or test the weak points of the Website, and attempting to disturb the services provided by the Website for users, and
(6) other obligations stipulated by law.
Any user fails to abide by the afore-mentioned clauses shall bear legal liabilities for his/her online behavior. ZTE Corporation will make the judgment at its own discretion and will completely cooperate with the activities of judicial authorities.
2. In consideration of the features and importance of Web services, users shall agree:
(1) to provide detailed and accurate personal information, such as user name and ID card number;
(2) to constantly update the registration information in time, in details, and correctly;
(3) that ZTE reserves the right to delete all illegal registration information or the information that does not meet the requirements of the Website; and
(4) that ZTE reserves the right to make reasonable use of and changes in users’ registration information.
3. Users’ accounts, passwords and their security
Once becoming a registered user of the Website after successful registration, the user will get a user account and a password. Users shall take full responsibility for the security of their respective accounts and passwords.
Each user shall take full responsibility for all activities and events conducted under his/her account. Users shall agree that they will immediately notify the Website of any situation where their accounts are illegally used or their interests are damaged.
III. Copyright Statement
The contents of the Website include, but are not limited to, all icons, graphs, words, voices, videos, software, all information contained in advertisements, all information contained in e-mails, and the commercial information provided by the Website for users. All contents mentioned above are protected by the copyright laws and other laws of the People’s Republic of China and other countries. You may browse, copy, print and transmit the contents of the Website only for personal and non-commercial purposes, provided that you must keep the integrity of all copyrights and other proprietary marks. The copy of any content of the Website must contain the copyright mark of ZTE. When using articles or documents of an individual or any third party on the Website, you shall follow the statements in such documents or articles. No individual or entity may copy or reproduce the said contents or create any derivative works related to such contents without the express written authorization of the Website.
IV. No-warranty Clause
The Website and its contents are provided for your convenience. ZTE does not guarantee the continuity of or the exemption of any error on the Website. The contents of the Website are provided on an as is basis. ZTE has the right to change the contents of the Website from time to time without any prior notice. ZTE does not make any warranties, express or implied, for the contents of the Website, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. ZTE will bear no liability for any direct, indirect, incidental, special or consequential losses, or any loss of profits, even if ZTE has been notified of the possibility of the occurrence of such similar losses. If there is any maintenance or replacement required by the equipment or any data loss attributed to your use of the system, the system will take no responsibility for such losses thus incurred. To the extent allowed by law, the system guarantees neither the applicability, accuracy, reliability or integrity of the contents (texts or images), services, software or links of this system, nor a long-term operation free of technical errors, or the exemption of attacks by viruses or other technical failures on the server of the system.
ZTE provides some links or guidelines to the websites of third-parties. Any provision of such links is for your convenience and reference only. The contents of any such a website are not under our control. ZTE will take no responsibility for the contents of any website linked to this system. If you decide to visit such websites, you shall take all risks and responsibilities arising thereof by yourself. The fact that we provide links to websites of third parties neither means that we approve, authorize or sponsor any of such websites, nor indicates that we are related to such third parties.
V. Individual Risk Possibilities
You must agree to take all risks arising out of your logging in to the Website or to other websites through the Website by yourself. You shall undertake to back up all information sent to ZTE by yourself. ZTE will bear no legal liability for any loss of the user information.
VI. Applicable Law and Jurisdiction
The Agreement is subject to the interpretation of laws of the People’s Republic of China. Both the users and ZTE must be subject to the judicial jurisdiction of the People’s Republic of China. Any dispute arising out of the use of the Website shall be subject to the jurisdiction of the court of the place where ZTE resides./p
